Who is behind San Martinho Beach Club (SMBC)?
The property division of the Beekman Brothers Group. The group has extensive experience in leisure, domestic, retail and industrial development as well as property management. The group has been in existence for over 20 years in South Africa and has opened branches in various international destinations.
How big is the property?
43 hectares.
How many units are anticipated on completion of the proposed development

What will I own when I invest in SMBC?
San Martinho Beach Club is a share block development. Investors acquire shares in Grace Bay Club Limited, a company registered in Mauritius. Grace Bay Limited has the exclusive right to the use and development of the resort on the immovable property in Bilene owned by San Martinho Beach Club Limitada, a company registered in Mozambique.
Who is the Developer and seller?
Treselle Limited, a company registered in Mauritius
Where does my right of use come from?
Each villa or apartment in the development is a share block. The shares associated with each unit confer an exclusive right of use and occupation to the investor holding these shares for the duration of the occupational rights.
What is the duration of my occupational right of use?
The occupational right of use endures for 99 years being based on a 50 year plus 49 year back to back renewable lease from the State to San Martinho Beach Club LDA (SMBC).
Can the Developer raise a bond over the development?
No. There are no borrowing powers in this development. Schedule S of the sale agreement contains the warranties to prevent the developer from borrowing against the assets. The entire development is being funded with cash.
How is the agreement of sale structured?
The agreement of sale is divided into two components. The first component is for the acquisition of the shares from Grace Bay Limited to secure the occupational rights as recorded in the use agreement and the right to have an apartment constructed in accordance with the architect's drawings. When the purchaser acquires the shares, the seller (Treselle) cedes and assigns the use agreement to the purchaser. The second component is the building contract providing for the erection of the apartment or villa on the site. The building contract is between the purchaser and the Contractor (Treselle Limited
What is the use agreement?
The use agreement is the agreement which entitles each successive holder of the share block to the exclusive use and occupation of the apartment, villa or site subject to its terms and conditions.
In what currency is the purchase price?
Your investment is US Dollar Based regardless of the purchase currency
How is payment to be effected?
The purchase price in respect of the shareblock, fixed loan and use agreement is US$75 000 comprising US$74173.55 in respect of the shareblock and US$826.45 in respect of that portion of the shareholders loan allocated to the shareblock.
To whom is payment made?
Payment is made to the seller (Treselle Limited, a company registered in Mauritius).
Where is this money held?
The money is held by the Developer's Agent (Frontfin Properties, Secretaries and Administrators Limited of Mauritius) in an Escrow account with the Standard Bank of Mauritius pending fulfilment of any subjective clauses. The funds will therefore flow from the investor to an account in Mauritius and from there will be released to the seller based on the fulfilment of specific contractual conditions. How is payment of the contract price made to the contractor
The Developer's agent, Frontfin, will pay the contractor in instalments on receipt of reports issued by the consulting engineer certifying completion of the various stages of the apartment or villa as specified in the agreement.
Who benefits from the interest earned by the money in the Escrow account
Interest earned in the Escrow account will accrue to the purchaser
What is included in the building contract?
The apartment or villa with quality finishes (granite top kitchens, mozzie screen windows, DSTV ready connections) as described in the San Martinho schedule of finishes. The building contract includes major kitchen appliances such as under counter oven, hob and cookerhood, side by side fridge/freezer (4 bedroom unit) or combination fridge freezer (3 bedroom unit), washing machine, tumble dryer and microwave. Also included is a gas braai on the patio and aircon to all bedrooms as well as ceiling fans. Investors must furnish their own units
What about Foreign exchange controls?
South African residents investing in SMBC must warrant that their taxation affairs are current and in good standing with SARS and that they have sufficient offshore investment allowance available in terms of applicable law to transfer the full purchase price and the building contract price to Mauritius from South Africa. In this regard the investor must apply for SARS clearance to transfer the appropriate funds
Can I resell my unit?
Yes. At any stage, provided you are not in arrears with your levy obligation.
What is the anticipated levy?
The seller estimates that the initial levy will be approximately $US210 per month.
What will this levy cover?
Everything outside the unit.
When will the initial levy become payable?
With effect from the effective date in respect of costs and expenses of the Grace Bay Limited and costs are incurred after the occupation date.
Who determines the levies?
The Directors of the Company.
Can I rent my apartment out?
Yes
Will each apartment have its own electricity and water meter?
Yes
Will my apartment be insured and by whom?
The company will in its discretion and at the cost of the shareholders insure the villas against damage for their replacement value.
Who is responsible for maintaining the buildings?
The owner of the shares will be responsible for all interior maintenance.
Will a domestic servicing facility be available or will I have to find my own domestic worker?
Owners will be able to apply to the management company for this service. The manager will be responsible for the supervision of all staff employed by the company as well as the servicing of villas and commercial premises.
How will the development be phased?
Development will be phased in accordance with the layout plan. Phase 1 includes the beach apartments known as Villa Praia (blocks A to E = 40 apartments) and the development of freestanding villas on the 500 sq. meter sites known as Parque Flores. Development of phase 1 will commence in 2008. Phase 2 is scheduled to start in 2009.
Can a unit be jointly owned?
Yes. The maximum number of joint owners is limited to 12.
Are pets allowed?
Not without the prior written consent of the Directors of the Company.
Is there undercover parking for vehicles?
Each 3 bedroom unit gets 1 carport. Each 4 bedroom unit gets 2 carports. It is suggested that each unit considers purchasing a golf cart for commuting in the resort.
What land based facilities are anticipated for this development?
Tennis, 3 swimming pools, beauty spa, restaurant, pool bars, beach bar, crèche, mini-golf, kid's play park, cycling, gym, games room, volleyball.
Will there be moorings available for private boats?
Moorings for boats will be available along the beachfront.
Will there be a boatyard with security?
Yes. There will be a boat yard with security for the storing of boats as well as an area designated for the cleaning of motors. There will also be a launching service for investors.
What about security?
There will be 24 hour security with controlled access with intercom systems in all villas and luxury apartments.
What about health matters?
San Martinho Beach Club will conduct a continuous mosquito spraying program.

General Bilene
Where do I obtain permits for boats, fishing etc.
There is a Marine office in Bilene where licences can be obtained for fishing, boats, deep sea diving etc.
Can I ride my quad bike anywhere?
Quad bikes and scramblers are not allowed on the lagoon beaches. There are trails in the immediate area.
Can I fly directly into Bilene?
Bilene has an airport with tar strip. So if you own your own light aircraft you can fly into Bilene but at this stage would still need to clear customs in Maputo.

General Mozambique
What are the visa requirements for entering Mozambique?
There are no visa requirements for South Africans entering Mozambique for stays of 30 days or less.
