Legal Structures: Agreements of sale and right of use documents have been drafted by Werksman’s Attorneys.

Shares: Leopard Rock Lodge (Pty) has sub-leased the Leopard Rock Lodge site together with 45 years of traversing rights over the entire Madikwe Game Reserve to Majwaneng Shareblock (Pty) Ltd. A total of 13 shareblocks (syndicate slots) exist in the shareblock company.

Use: Each syndicate member (shareholder) enjoys an exclusive 45 year right of use to Leopard Rock Lodge for four weeks per annum including traversing rights over the entire Madikwe Game Reserve for the duration of the lease. The four weeks are spread throughout the year so that shareholders are able to experience different seasons at Madikwe Game Reserve. The weeks move according to a pre-determined calendar.

Value of investment: A balanced perspective of the value of the Leopard Rock Lodge investment opportunity can be obtained by comparing the cost per night to rent space for ten guests at any of the exclusive commercial lodges in Madikwe Game Reserve. For a once-off investment purchasers are able to secure an exclusive right of use to Leopard Rock Lodge and its facilities for 28 days per annum for a period of 45 years.

Annual costs: Each shareholder is responsible for 1/13th of the annual operating expenses of the lodge. A detailed expense budget is available for perusal by interested parties. The annual operating levy per 4 week share block for the period March 2004 to March 2005 is R50 000 which is payable annually in advance. In addition, at the end of each week at the lodge, each respective shareholder is liable for a per km petrol levy based on the distance travelled during the period of stay. This is to ensure that those shareholders who make use of the open vehicle for game drives contribute to its upkeep and replacement. The 2006 levy is R58 000 for the 4 weeks.

Payment: In order to secure a shareholding, 50% of the investment amount needs to be paid on signature of sale agreement. It is recommended that shares be purchased in the name of a CC or (Pty) Ltd. in order to facilitate the on-selling of the 4 week shareholdings and the limitation of V.A.T.
